Advisory · Diligence

Technical and commercial diligence before you commit.

Independent diligence for operators, investors, and infrastructure transactions. The risks are surfaced and tied to the decision before capital is committed.

Technical scope

What the asset can actually carry.

Capacity

What the facility can actually carry today and as it scales.

Power and cooling

Supply, redundancy, density, and the headroom left.

Site

Land, grid, connectivity, and constraints over the hold period.

Design

How the build holds up against its stated intent.

Operational readiness

Whether the asset can run at the level assumed.

Commercial scope

What the paperwork actually commits you to.

Contracts

What each agreement obligates, protects, and forecloses.

Pricing structures

How revenue and cost are built, and where they move.

Counterparties

Who stands behind the obligations, and how firmly.

Obligations

Commitments that survive the transaction and bind the buyer.

Risk register model

How risk is captured and rated.

  1. Captured

Each risk is written against the specific decision.

  2. Rated

Likelihood and impact are assessed, not just listed.

  3. Tied to the decision

Every risk states what it would change if it lands.

Deliverables

What you receive.

  • A short list of the questions that still need answers before signing.

Conflict and confidentiality posture

Conflicts are checked before any engagement begins.

NDA available

An NDA is available before detailed material is shared.

Personal-capacity independence

Karaya Group operates in a personal capacity, independent of any counterparty.

Approved or anonymized examples

Decision shapes, never named deals.

  • A single-site acquisition where power headroom was the deciding risk.
  • A lease commitment where a contract obligation outlived the term.
  • A capacity purchase where operational readiness lagged the design.

These are anonymized shapes of decisions. No client, deal, or figure on this page is a specific engagement.

Questions

Common questions.

Do you name past deals or clients?
No. Engagement shapes are anonymized, and named deals are never disclosed. What you see are the kinds of decisions and risks, not confidential specifics.
Can you work opposite a party the seller already hired?
Independence and conflict posture are established before the engagement starts. If a conflict exists, it is surfaced rather than worked around.
How is confidential material handled?
A first message should carry no confidential detail. An NDA is available before deeper material is shared, and access is scoped to the brief.

Start with the brief

Bring the transaction to independent diligence.

Tell Karaya what you are considering. Keep confidential detail out of a first message.
