Advisory · Mergers and acquisitions
Settle the integration before Day 1, not after it.
Independent, advisory-only support from diligence through the first 100 days. The IT estate, contracts, vendors, and security posture are examined before close, so integration, Day 1, and every transition run on a plan.
Who it is for
For the people who own the integration.
Corporate development teams
Buyers who need the technology and contract picture before the price and the plan are final.
Private equity operating teams
Deal and portfolio teams that want an independent read on a target and a plan for the first 100 days.
Contractors and agencies absorbing a business
Organizations folding an acquired company into their systems, contracts, and compliance obligations.
When to bring Karaya in
Three points in the deal.
- At or nearing LOI, while the diligence scope is still being set.
- Between signing and close, when Day 1 has to be planned without full access.
- In the first 100 days, when transitions, migrations, and TSA exits start to bind.
Diligence
What the target actually runs on.
IT estate
Systems, data, and infrastructure, and what it will take to keep, merge, or retire each one.
Contracts and licensing
Which agreements transfer, which need consent, and which end at a change of control.
Vendors
Who the business depends on, how firmly, and what changes when ownership does.
Security and compliance posture
Where the target stands against the frameworks its contracts require, including NIST SP 800-171 and CMMC where they apply.
Integration
From signing to one business that runs.
Integration planning
The target operating model, the order of work, and who decides what.
Day 1 readiness
What must work on the first day: access, email, core systems, customer-facing services, and reporting.
TSA design and exit
Which services the seller keeps running, for how long, and the plan to exit each one.
Contract and vendor transitions
Assignments, novations, and renewals sequenced so nothing lapses.
Migration sequencing
Which systems move first, which wait, and which are retired.
Budget through close
Integration cost tracked against the deal model, so surprises reach the deal team early.
How the work runs
Three phases, timed to the deal.
-
At LOI
Scope the diligence questions that could change the price or the plan, and answer them.
-
Signing to close
Build the integration plan, the Day 1 checklist, and the TSA terms worth negotiating.
-
First 100 days
Sequence transitions and migrations, and keep the plan honest against the budget.
What you receive.
- A diligence findings memo on IT, contracts, vendors, and security posture.
- An integration plan with owners and a decision log.
- A Day 1 readiness checklist.
- A transition schedule with an exit date for every TSA service.
- A migration sequence and an integration budget view through close.
A typical brief.
A buyer nearing LOI needs to know which of the target's systems, contracts, and vendor agreements survive the deal. Giovanni scopes the IT and contract diligence and drafts the Day 1 plan. What you get: a findings memo and an integration plan before close.

Questions
Common questions.
- Can Giovanni step in as interim integration lead?
- No. Karaya is advisory only and independent. Giovanni advises the integration lead and the deal team, and your people or the firm you choose run the integration. That keeps the advice free of any stake in who does the work.
- Will you sign an NDA before seeing deal materials?
- Yes. An NDA can be in place before any deal material is shared, and a conflict check runs first.
- Can you work on a live deal?
- Yes, where no conflict exists. Karaya will not advise both sides of the same transaction.
- Do you cover valuation, legal, or tax?
- No. Those stay with your deal advisers. Karaya covers the technology, contract operations, and integration side and works alongside them.
